The agreement behind Vocleo.

Scope and the Apple EULA

These Terms govern your download and use of the Vocleo iOS application, widgets, Siri Shortcuts and App Intents, collectively referred to as “Vocleo” or the “App.”

These Terms supplement Apple’s Licensed Application End User License Agreement (“Apple EULA”), which is available at apple.com/legal/internet-services/itunes/dev/stdeula/. To the extent required by Apple’s applicable terms, the Apple EULA will control in the event of a conflict.

1. Description of Vocleo

Vocleo is a spaced-repetition vocabulary-learning application designed to help adults study, review and retain English vocabulary, including vocabulary that may be relevant to IELTS preparation.

Vocleo:

• Does not require a user account
• Stores learning progress locally on your device
• May provide an optional private iCloud backup
• May offer free and paid learning features
• May provide subscriptions and a lifetime purchase through Apple’s In-App Purchase system

Use of Vocleo is also subject to our Privacy Policy.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use Vocleo.

Vocleo is not intended for individuals under 18. By using the App, you represent that you are at least 18 years old and have the legal capacity to accept these Terms.

3. Licence

Subject to your compliance with these Terms and the Apple EULA, we grant you a limited, personal, revocable, non-exclusive, non-transferable and non-sublicensable licence to download and use Vocleo on Apple devices that you own or control.

This licence is for your personal and non-commercial use.

The licence does not transfer ownership of Vocleo, its content or any intellectual-property rights to you. All rights not expressly granted are reserved by the Developer and applicable licensors.

4. Subscriptions and In-App Purchases

4.1 Available Purchase Options

Vocleo may offer:

• A monthly auto-renewing subscription
• An annual auto-renewing subscription
• A one-time lifetime purchase

The exact products, prices, currencies, subscription periods, free trials and included features are displayed on the purchase screen before you confirm a transaction.

Prices may vary by country or App Store storefront and may include applicable taxes.

4.2 Auto-Renewing Subscriptions

Monthly and annual subscriptions automatically renew at the end of each billing period unless you turn off auto-renewal at least 24 hours before the end of the current subscription period.

Your Apple Account may be charged for renewal within 24 hours before the end of the current period.

If a subscription price changes, Apple will provide any notice or request any consent required under its applicable rules.

4.3 Free Trials and Introductory Offers

Vocleo may offer a free trial, introductory price or promotional offer to eligible users.

The duration, price and eligibility conditions will be shown before purchase.

Unless cancelled before the trial or introductory period ends, the subscription will automatically convert to the applicable paid subscription.

Vocleo may provide a local reminder before a trial ends, but delivery of a reminder is not guaranteed. You remain responsible for managing or cancelling your subscription through Apple.

Eligibility for free trials and introductory offers is determined by Apple and may be limited to qualifying users.

4.4 Managing or Cancelling a Subscription

Subscriptions are billed and managed by Apple.

You can manage or cancel a subscription through: iOS Settings → Your Name → Subscriptions.

Cancelling a subscription stops future renewals. Unless applicable law or Apple’s policies provide otherwise, cancellation does not provide a refund for the current billing period, and premium access normally continues until that period expires.

Deleting Vocleo does not automatically cancel an active subscription.

4.5 Refunds

Payments and refunds are handled by Apple.

Refund requests must be submitted to Apple through reportaproblem.apple.com.

We do not receive your complete payment information and cannot directly approve or issue App Store refunds. Apple determines refund eligibility under its policies and applicable law.

Nothing in this section limits refund or consumer rights that cannot legally be excluded.

4.6 Restoring Purchases

Vocleo may provide a “Restore Purchases” function to restore eligible subscriptions or non-consumable purchases associated with your Apple Account.

Successful restoration depends on Apple’s App Store services, your Apple Account, network availability and entitlement validation.

4.7 Lifetime Purchase

A “Lifetime Purchase” is a one-time, non-renewing purchase that provides access to the premium features identified on the purchase screen for as long as Vocleo remains commercially available and supported by the Developer under the same application.

“Lifetime” refers to the supported commercial lifetime of Vocleo, not the natural lifetime of the purchaser or any particular device.

A Lifetime Purchase does not guarantee that:

• Vocleo will remain available indefinitely
• Every current feature will remain unchanged forever
• Vocleo will support every future Apple device or operating-system version
• Separate future applications or materially different products will be included

Any mandatory rights available under applicable consumer law remain unaffected.

4.8 Premium Features

The features included with each paid product are described on the purchase screen.

Features may be improved, replaced or modified as Vocleo develops. We will not knowingly misrepresent the features included in a purchase at the time the transaction is made.

Paid access may require successful entitlement verification through Apple and RevenueCat.

5. Local Progress and iCloud Backup

Vocleo stores learning progress locally on your device.

Deleting Vocleo, erasing your device, losing your device, resetting application data or experiencing device failure may result in loss of local progress.

Vocleo may provide an optional private iCloud backup. Backup and restoration depend on:

• Your Apple Account
• iCloud availability
• Available iCloud storage
• Network connectivity
• Device settings
• Apple’s CloudKit services
• Vocleo version compatibility

We take reasonable steps to make backup and restoration reliable, but we cannot guarantee that every backup or restoration attempt will be successful.

You are responsible for maintaining appropriate device and iCloud settings if you choose to use the backup feature.

Selecting “Delete All Progress” is intended to permanently delete local learning information and request deletion of the corresponding Vocleo iCloud backup. Deleted progress may not be recoverable.

6. Acceptable Use

You agree not to:

• Use Vocleo for an unlawful or fraudulent purpose
• Attempt to bypass subscriptions, purchases or entitlement checks
• Interfere with or disrupt the operation or security of Vocleo
• Introduce malware or harmful code
• Reverse-engineer, decompile or disassemble the App except where applicable law expressly permits it
• Copy, scrape, extract or redistribute Vocleo’s proprietary vocabulary database or content using automated means
• Resell, sublicense or commercially exploit the App or its content
• Misrepresent an association with Vocleo or the Developer
• Use Vocleo in a way that infringes another person’s rights

We may take reasonable action to protect Vocleo, its content, purchase systems and users from unlawful use, fraud or security threats.

7. Intellectual Property

Vocleo’s software, design, branding, logo, interface, original vocabulary content, examples, learning systems and other proprietary materials are owned by the Developer or used under an applicable licence.

These materials are protected by copyright, trademark and other intellectual-property laws.

You may use Vocleo’s content for personal study. You may not reproduce or distribute a substantial portion of the vocabulary database, design or other proprietary material without prior written permission.

8. IELTS Trademark Disclaimer

IELTS is a registered trademark jointly owned by the British Council, IDP IELTS and Cambridge University Press & Assessment.

Vocleo is an independent vocabulary-learning application. It is not affiliated with, authorised by, approved by, sponsored by or endorsed by the British Council, IDP IELTS, Cambridge University Press & Assessment or any other IELTS owner or test administrator.

References to IELTS describe the intended study context only. Vocleo does not provide official IELTS questions, official scores or official examination services.

9. Educational Disclaimer

Vocleo is an educational study tool.

Vocleo does not guarantee:

• A particular IELTS band score
• Admission to an educational institution
• Immigration or visa eligibility
• Employment
• Examination success
• Complete mastery of the English language
• That every word will appear in an IELTS examination

Readiness indicators, progress estimates, consistency indicators and spaced-repetition schedules reflect your activity inside Vocleo. They are not official test predictions.

We take reasonable care when preparing vocabulary definitions, examples and learning content. However, language can vary by context, region and usage, and content may occasionally contain errors or omissions.

You should consult official IELTS materials and qualified educational professionals when making important examination decisions.

10. No User-Generated Public Content

Vocleo does not currently allow users to publish, share or transmit content to other users or to the public.

If public or community features are introduced in the future, these Terms and the Privacy Policy may be updated before those features are made available.

11. Privacy

Our collection and use of information are described in the Vocleo Privacy Policy.

The Privacy Policy forms an important part of your use of Vocleo but does not reduce any privacy rights provided by applicable law.

12. Third-Party Services

Vocleo may rely on services provided by:

• Apple App Store and StoreKit
• Apple iCloud and CloudKit
• RevenueCat
• Google Firebase Analytics
• Google Firebase Crashlytics

Availability of features relying on these services may be affected by network connectivity, provider outages, provider-policy changes, regional restrictions or discontinued third-party services.

Your interactions with Apple and other independent service providers may also be governed by their respective terms and privacy policies.

We are not responsible for third-party services to the extent that their operation is outside our reasonable control.

13. App Availability and Updates

We may release updates to:

• Add or improve features
• Fix defects
• Maintain compatibility
• Improve security
• Comply with legal or App Store requirements
• Replace discontinued third-party services

Some updates may be required for continued access to certain features.

We do not guarantee that Vocleo will:

• Be available without interruption
• Be compatible with every device
• Support every future iOS version
• Remain available in every country
• Remain commercially available indefinitely

We may discontinue future distribution, updates or support for Vocleo. Any such action remains subject to applicable consumer law and obligations connected to active paid subscriptions.

Because Vocleo has no user accounts, deleting the App is the primary method for ending your use.

14. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Vocleo is provided “as is” and “as available.”

We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability and error-free operation to the extent those warranties may legally be excluded.

We do not guarantee that:

• Vocleo will always operate without errors
• Learning information will never be lost
• Cloud backup or restoration will always succeed
• Third-party services will always remain available
• Vocabulary content will be completely free from errors
• Use of Vocleo will produce a particular educational outcome

Nothing in these Terms excludes warranties or consumer guarantees that cannot lawfully be excluded.

15. Limitation of Liability

To the maximum extent permitted by applicable law, the Developer will not be liable for indirect, incidental, special, consequential or punitive damages arising from your use of or inability to use Vocleo.

This may include loss of:

• Learning progress
• Data
• Study time
• Expected examination results
• Profits or business opportunities
• Goodwill

To the extent permitted by law, the Developer’s total liability for claims arising from Vocleo or these Terms will not exceed the amount you paid for Vocleo during the 12 months immediately preceding the event giving rise to the claim.

For a Lifetime Purchase made more than 12 months before a claim, the liability cap will not be less than the original amount paid for that purchase.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded or limited.

16. Indemnification

To the extent permitted by applicable law, you agree to indemnify the Developer against third-party claims, losses or reasonable expenses arising directly from:

• Your unlawful use of Vocleo
• Your intentional violation of these Terms
• Your infringement of another person’s intellectual-property or legal rights
• Your deliberate attempt to compromise Vocleo’s security or purchase systems

This section does not apply to claims caused by the Developer’s own unlawful conduct, negligence or breach of these Terms.

17. Changes to These Terms

We may update these Terms to reflect:

• Changes to Vocleo
• New or discontinued features
• Changes in third-party services
• Legal or regulatory requirements
• Security or fraud-prevention requirements

The “Last updated” date will identify the most recent revision.

If a change is material, we will provide reasonable additional notice where appropriate, such as an in-app notice.

Changes will not retroactively remove mandatory consumer rights. If you do not agree with revised Terms, you should stop using Vocleo and cancel any active subscription before its next renewal.

18. Governing Law and Disputes

These Terms are governed by the laws of India, without regard to conflict-of-laws principles.

Subject to any mandatory consumer rights available in your country of residence, disputes arising from these Terms or Vocleo will be subject to the courts located in Pune, Maharashtra, India.

Before commencing formal proceedings, you are encouraged to contact us at mobifyappstudio@gmail.com or via WhatsApp so that we can attempt to resolve the issue informally.

Nothing in this section prevents you from bringing a claim in your local courts or approaching a consumer-protection authority where applicable law gives you that mandatory right.

19. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect.

20. No Waiver

If we do not immediately enforce a provision of these Terms, that does not waive our right to enforce it later.

21. Entire Agreement

These Terms, the Vocleo Privacy Policy and the applicable Apple EULA constitute the agreement governing your use of Vocleo.

They replace prior statements or agreements concerning the same subject matter, except where applicable law provides otherwise.
